Terms of Service

Welcome to Myika AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Myika AI ("Myika," "we," "us," or "our") governing your access to and use of the Myika AI platform, including all associated websites, applications, APIs, and services (collectively, the "Service").

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity.

Myika AI is a software-as-a-service (SaaS) analytics platform designed for licensed retail cannabis dispensary operations. The Service provides AI-powered tools and features including, but not limited to:

• Report Analysis — Automated analysis and interpretation of operational, sales, and compliance reports.
• Employee Scheduling — Intelligent scheduling tools optimized for staffing needs and labor compliance.
• Purchasing Insights — Data-driven recommendations for inventory procurement and vendor management.
• Calendar Management — Centralized calendar tools for operational planning, task tracking, and team coordination.

We reserve the right to modify, update, or discontinue any feature of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify Users of material changes to Service functionality.

To access certain features of the Service, you must create an account. Authentication is managed through our third-party authentication provider, Clerk. By registering, you agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information to keep it accurate.
• Maintain the security and confidentiality of your login credentials and authentication methods.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately at contact@myikaai.com if you suspect unauthorized access to your account.

You must be at least 21 years of age to create an account and use the Service, consistent with legal requirements applicable to the cannabis industry. We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

As a User of the Service, you agree to:

• Use the Service only for lawful purposes and in accordance with all applicable federal, state, and local laws and regulations, including those governing the cannabis industry.
• Provide accurate, complete, and up-to-date data when uploading information to the platform.
• Ensure that you are authorized by your organization to access and input the data you provide to the Service.
• Refrain from sharing your login credentials with unauthorized individuals.
• Not use the Service to store, transmit, or process data that you do not have the legal right to use.
• Comply with all applicable regulatory and licensing requirements for cannabis operations in your jurisdiction.

You are solely responsible for the accuracy and legality of the data you provide to the Service. Myika AI does not verify the compliance status of your cannabis operation and shall not be held liable for decisions made based on Service outputs.

Myika AI offers both free and premium subscription tiers. Access to certain features may be restricted based on your subscription plan.

Your privacy is important to us. Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You agree not to, and will not permit any third party to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose, including activities that violate federal, state, or local cannabis regulations.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.
• Scrape, crawl, or use automated means to extract data from the Service without prior written consent from Myika AI.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or connected networks.
• Transmit any viruses, malware, or other harmful code through the Service.
• Sublicense, resell, lease, or otherwise distribute access to the Service to third parties without authorization.
• Use the Service to develop a competing product or service.
• Remove, alter, or obscure any proprietary notices, labels, or markings on the Service.
• Misrepresent your identity or affiliation when using the Service.

Violation of these prohibitions may result in immediate suspension or termination of your account and may subject you to civil and criminal liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYIKA AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF MYIKA AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYIKA AI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MYIKA AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. MYIKA AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

MYIKA AI DOES NOT PROVIDE LEGAL, REGULATORY, OR COMPLIANCE ADVICE. THE ANALYTICS, INSIGHTS, AND RECOMMENDATIONS PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR ENSURING YOUR OPERATIONS COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS.

Either party may terminate this agreement at any time. You may terminate your account by contacting us at contact@myikaai.com or through your account settings.

Myika AI reserves the right to suspend or terminate your access to the Service, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms.
• Conduct that we determine, in our sole discretion, is harmful to other Users, the Service, or Myika AI.
• Nonpayment of applicable fees.
• Extended periods of account inactivity.
• Requests by law enforcement or government agencies.

Upon termination, your right to use the Service will immediately cease. We will make commercially reasonable efforts to allow you to export your User Data for a period of thirty (30) days following termination, after which your data may be permanently deleted. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 9, and 12.

Myika AI reserves the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice by updating the effective date at the top of these Terms and, where appropriate, notifying you via email or through the Service.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Service and terminate your account.

We encourage you to review these Terms periodically to stay informed of any updates.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of California. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Myika AI.
